i want it to be nice and professional, but i just cant find the right words to say.

Link exchange? Most people don't bother to reply to them. Either link, or not.
It is your stite, and you can link to whatever you want, and safely ignore the rest.

If by "low rankings", you mean PageRank, then low rankings do not automatically pull you down.
Linking to irrelevant sites, link farms, and bad neighbourhoods, can cause you a lot of problems though.
A site with no PR may be new (and just not show PR yet) or may have a penalty. Check carefully before linking.

Yes, PR0 sites are either one of the following: new or banned. In neither case would I recommend exchanging links with one.

Well, when I had a new site that was PR0 a couple of years ago, I asked 60 sites for a link, and 50 gave one, and all without having to link back. I had already linked out to 15 useful resources that complemented the informational site. The site was PR0 then, but the pages are now PR7.

Linking to irrevilant sites can be dangerous and even can pull your PR downward. So, keep one eye open to the content of the site which you are going to link with. I use Alexa.com for finding the best relevant contentful sites that can boost my link popularity, PR as well.
