Had an odd proposal today and I wanted to get some ideas on how it might work out.
The owner of a local direcory wants someone (me) to take over the management of the directory. The site in question is the name of a small city in the L.A. area. There are only about 6-7 thousand residents and only a couple hundred of businesses.
Anyone have any experience running a directory you don't actually own? What sort of "franchise fee" would the owner get? We tenatively have agreed (should this deal go through) that there will be: no porn on the site, will list local businesses, have a lot of content (news, events and such) with a 3-5 year management contract. Anyone have any ideas on how such management contract would work? This is outside of my direct experience and I would very much like to hear what you folks have to say. How could this come back to bite me? Please advise. Thanks.

Forgive me for trying to read between the lines. It sounds like the owner has just given up. If the directory was making good money, then he would be a lot more interested in the project.
The bite may come when the thing starts making a lot of money. Paying a lawyer $150 now to look things over may help you avoid months of headaches later on.

You are correct; the owner has let it go stale. The owner has another business which he is working at. The direcetory was a side project for him.
Agreed;a lawyer will be asked to review the paperwork before any contracts get signed.
